Magna Bank. Shareholder Information.

Magna Bank became a publicly held company in January, 2000, upon the completion of its secondary common equity offering. As of March 30, 2007, there were 5,380,100 outstanding shares of common stock of 1st Trust Bank. On May 14, 2007, the shareholders of 1st Trust Bank agreed to change the name of the institution to Magna Bank. All issued 1st Trust Stock Certificates remain valid even though we have a new corporate name.

Magna Bank common stock is not listed on an established stock exchange or traded in the over-the-counter market. Currently, dividends are not paid on Magna Bank's common stock.

Magna Bank holds its Annual Meeting of shareholders in May of each year. All shareholders are invited to attend Annual Meetings.

Prior to the Annual Meeting, an Annual Report, Proxy Statement, and Proxy form are mailed to shareholders. Proxies, which include matters to be considered at the Annual Meeting, may be voted before or at the meeting.
